SECTION 1
Definitions
Throughout this agreement, the following terms carry the meanings assigned below:
- "Company," "We," "Us," "Our" — refers to Almanac Ash, registered and operating in Kuala Lumpur, Malaysia.
- "Service" — refers to any household inventory session, document cataloging project, annual inventory refresh, or related professional cataloging activity provided by Almanac Ash.
- "Client," "You," "Your" — refers to the individual or household representative who engages Almanac Ash for a Service.
- "Session" — a scheduled in-home or on-site visit by an Almanac Ash specialist to carry out cataloging or inventory work.
- "Deliverables" — printed booklets, digital records, archival labels, catalog books, or other tangible outputs produced as part of a Service.
- "Agreement" — the contract formed between Almanac Ash and the Client upon confirmation of a booking, incorporating these Terms & Conditions.
SECTION 2
Acceptance of Terms
By submitting an inquiry, confirming a booking, or accepting a service quote from Almanac Ash, you confirm that:
- You are at least 18 years of age or have the legal capacity to enter a binding agreement under Malaysian law.
- You have read, understood, and agreed to these Terms & Conditions in full.
- Where you represent a household or family unit, you have authority to bind that household to this Agreement.
Continued engagement with our services after any update to these terms constitutes acceptance of the revised terms.
SECTION 3
Service Description
Almanac Ash provides professional household inventory and document cataloging services to residential clients primarily within the Klang Valley and surrounding areas of Malaysia. Our current service offerings include:
- Household Inventory Session — a single in-home session to assess, photograph, and record household contents. Includes a printed inventory booklet, archival labels, and a one-month follow-up review.
- Document Cataloging Project — three dedicated sessions to sort, label, and catalog personal and household documents into a professionally structured archive. Includes a printed catalog book and archival folder.
- Annual Inventory Refresh — four quarterly visits per year to update and maintain your household records. Includes an annual summary booklet and year-end review.
Service availability is subject to our scheduling calendar. Almanac Ash reserves the right to decline engagements at its discretion, without obligation to provide reasons.
SECTION 4
Booking & Scheduling
All bookings are subject to availability and are confirmed only upon receipt of a written confirmation (email or message) from Almanac Ash.
- Session times are agreed upon in advance. Please ensure a responsible adult is present at the property for the full duration of each Session.
- You are responsible for preparing the space — clearing access to relevant rooms, documents, or storage areas — prior to a scheduled Session.
- Almanac Ash will make reasonable efforts to arrive on time. If we anticipate a delay of more than 30 minutes, we will notify you as soon as practical.
- Sessions must be conducted in a safe and accessible environment. If our specialist determines that conditions on arrival pose a safety risk, the Session may be postponed.
SECTION 5
Client Responsibilities
As a Client, you agree to the following:
- Provide accurate information about your property, household contents, and documents when requested.
- Grant Almanac Ash personnel reasonable access to the areas required to perform the agreed Service.
- Not ask our specialists to handle items of extreme fragility, high monetary value, or sensitive nature without prior written agreement.
- Ensure any third parties (family members, tenants, staff) present during a Session are informed of the work being conducted.
- Not use the Deliverables provided by Almanac Ash for commercial or insurance fraud purposes.
- Refrain from recording or photographing our specialists or proprietary methodologies without prior written consent.
SECTION 6
Intellectual Property
All methodologies, templates, labeling systems, catalog structures, and proprietary processes developed by Almanac Ash remain the exclusive intellectual property of Almanac Ash.
Upon full payment, you are granted a personal, non-transferable, non-exclusive license to use the Deliverables produced for your household for personal, non-commercial purposes. This license does not permit:
- Resale, sublicensing, or commercial distribution of any Deliverable.
- Reproduction of Almanac Ash templates or catalog formats for use with other households or third parties.
- Claiming authorship of cataloging systems developed by Almanac Ash.
Information you provide to us (item descriptions, document contents) remains your property. Almanac Ash will not share or use your household data for any purpose other than delivering the agreed Service.
SECTION 7
Payment Terms
All prices are quoted and payable in Malaysian Ringgit (RM). Current service fees are:
- A 50% deposit is required to confirm a booking. The balance is due on the day of the first Session, or within 3 business days of receiving the invoice for multi-session projects.
- Payment may be made via bank transfer (DuitNow / IBG), credit/debit card, or other methods agreed in writing prior to the engagement.
- Invoices unpaid beyond 14 days may attract a late fee of 1.5% per month on the outstanding balance.
- Prices are subject to revision. Any change will be communicated before a new booking is confirmed and will not affect existing confirmed agreements.
- Fees do not include travel surcharges for locations outside a 25 km radius of Kuala Lumpur city centre. Such surcharges will be disclosed at the time of quoting.
SECTION 8
Cancellation & Rescheduling
- Client cancellation with more than 5 business days' notice: full deposit refund, less any material costs already incurred.
- Client cancellation within 5 business days: deposit is non-refundable. A one-time rescheduling within 60 days may be offered at our discretion.
- Client cancellation on the day of a Session: deposit is forfeited and a rebooking fee of RM 100 applies for any future session.
- Rescheduling requests with at least 48 hours' notice: accommodated where possible at no charge (once per booking).
- Company-initiated cancellations (e.g., specialist unavailability, unforeseen circumstances): you will receive a full deposit refund or a priority reschedule at your choice.
Requests for cancellation or rescheduling must be submitted in writing to [email protected].
SECTION 9
Confidentiality
Almanac Ash treats all information encountered during a Service with strict confidence. Our specialists will not:
- Disclose the contents of your home, documents, or personal records to any third party, except as required by Malaysian law.
- Photograph your property for any purpose other than producing your agreed Deliverables, without your prior written consent.
- Use your household information for marketing, research, or any internal purpose beyond service delivery.
This obligation of confidentiality survives the termination of this Agreement. Data handling is further governed by our Privacy Policy.
SECTION 10
Disclaimers
Services are provided on a professional best-efforts basis. Almanac Ash does not warrant that:
- The inventory or catalog produced will be exhaustive if access to areas or items is restricted by the Client.
- Deliverables will satisfy the specific requirements of any insurer, legal body, or financial institution — Clients are advised to confirm suitability with the relevant parties.
- Document cataloging constitutes professional legal, tax, or financial advice.
Almanac Ash is not liable for pre-existing damage to items identified during a Session, or for the loss of documents not included in the agreed scope of work.
SECTION 11
Limitation of Liability
To the fullest extent permitted under Malaysian law:
- Almanac Ash's total liability to you for any claim arising from a Service shall not exceed the total fees paid for that specific Service engagement.
- We are not liable for indirect, consequential, incidental, or special damages, including loss of data, loss of profits, or emotional distress.
- We are not liable for damage to property caused by pre-existing structural issues, pest activity, or environmental conditions discovered during a Session.
- In the event of an accidental loss or damage caused by our specialist during a Session, liability is capped at the replacement cost of the specific item, up to RM 500 per incident, unless a higher limit has been agreed in writing prior to the Session.
Force majeure events — including but not limited to natural disasters, pandemic restrictions, civil unrest, or government directives — relieve Almanac Ash of liability for delayed or cancelled services during the affected period.
SECTION 12
Indemnification
You agree to indemnify and hold harmless Almanac Ash, its directors, employees, and contractors from any claims, losses, costs (including legal fees), or damages arising from: (a) your misuse of the Deliverables; (b) false or inaccurate information you provided to us; (c) any breach of these Terms by you; or (d) any claim by a third party related to access you granted our specialists to your property.
SECTION 13
Termination
Either party may terminate an ongoing service engagement (such as the Annual Inventory Refresh) with 30 days' written notice. Upon termination:
- Almanac Ash will provide all Deliverables completed up to the termination date.
- You remain liable for payment for all Sessions completed and any materials already produced.
- Prepaid amounts for undelivered Sessions will be refunded on a pro-rata basis, less a reasonable administration fee of RM 80.
Sections 6, 9, 11, and 12 survive termination of this Agreement.
SECTION 14
Dispute Resolution
This Agreement is governed by the laws of Malaysia. In the event of a dispute:
- Informal resolution: Contact us at [email protected] within 30 days of the issue arising. We will endeavour to resolve the matter within 14 business days.
- Mediation: If informal resolution fails, the parties agree to attempt mediation through the Malaysian Mediation Centre before commencing legal proceedings.
- Jurisdiction: Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
Relevant consumer protection legislation includes the Consumer Protection Act 1999 (Malaysia) and the Personal Data Protection Act 2010 (Malaysia).
SECTION 15
General Provisions
- Entire Agreement: These Terms, together with any written booking confirmation or service quote, constitute the entire agreement between you and Almanac Ash.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by either party to enforce any provision does not constitute a waiver of future enforcement of that provision.
- Assignment: You may not assign your rights or obligations under this Agreement without our written consent. Almanac Ash may assign its obligations to a qualified successor with reasonable notice to you.
- Notices: Formal notices under this Agreement must be sent by email to the addresses on record. Notices are effective upon confirmed receipt.
SECTION 16
Changes to Terms
Almanac Ash may update these Terms periodically. When changes are made:
- The revised Terms will be published on our website with an updated "Last Updated" date.
- For material changes, we will notify active clients by email at least 14 days before the changes take effect.
- Continued use of our services after the effective date constitutes acceptance of the revised Terms.
- Changes do not apply retroactively to bookings confirmed before the effective date of the revision.
